Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Opinyn mobile application, website and related services (collectively, the “Service”).

In these Terms, “Opinyn”, “we”, “us” and “our” refer to Jan Nik Jesenovec – Manumed s.p.

By creating an account, selecting “I agree”, accessing or using the Service, you confirm that you have read, understood and agreed to these Terms, the Privacy Policy and the Community Guidelines.

If you do not agree, you must not access or use the Service.

About Opinyn

Opinyn is a social decision platform that allows users to:

• publish questions, dilemmas and other user-generated content;
• provide multiple answer options;
• vote on questions and dilemmas;
• comment on and interact with content;
• view aggregated community results;
• publish photographs, videos and other permitted materials;
• use anonymous-posting features where available;
• earn or display engagement-related points, scores, ranks, badges or Aura;
• follow users and interact with the Opinyn community.

Opinyn provides technological tools for sharing opinions and collecting community responses. Opinyn does not verify, endorse or guarantee the accuracy, reliability, safety or suitability of user-generated content, votes, results or recommendations.

Eligibility and minimum age

You must be at least 16 years old to create and independently operate an Opinyn account.

If the law in your country requires a higher minimum age, parental authorisation or another legal requirement, that higher requirement applies.

By using Opinyn, you confirm that:

• you satisfy the applicable minimum-age requirement;
• you have the legal capacity to accept these Terms;
• the information provided during registration is accurate;
• you are not legally prohibited from using the Service;
• any required parental or guardian permission has been validly obtained.

Opinyn may request reasonable information necessary to verify age or legal eligibility. We may restrict, suspend or terminate an account where we reasonably believe that the user does not satisfy applicable requirements.

Account registration

You may be able to create or access an account using:

• an email address;
• Sign in with Apple;
• Google Sign-In;
• another method introduced by Opinyn.

You agree to provide accurate and current information and to keep your account credentials secure.

You must not:

• create an account using false or misleading information;
• impersonate another person or organisation;
• access another person’s account without permission;
• sell, purchase, rent, transfer or share an account;
• create accounts to evade restrictions or enforcement;
• create fake accounts to manipulate votes, engagement or visibility;
• use automated systems to create or control accounts without written permission.

You are responsible for activity conducted through your account unless such activity resulted from circumstances outside your reasonable control.

You must promptly contact info@opinyn.com if you suspect that your account has been compromised.

User content

“User Content” means any information or material submitted, uploaded, created, transmitted or displayed through Opinyn, including:

• dilemmas and questions;
• answer options;
• votes and reactions;
• photographs and videos;
• captions and descriptions;
• comments and replies;
• profile information;
• usernames;
• links;
• reports and appeals;
• other communications or materials.

You retain ownership of your User Content.

You are solely responsible for ensuring that you have the necessary rights and permissions to publish your User Content.

You represent that your User Content:

• is accurate to the extent it is presented as a statement of fact;
• does not violate applicable law;
• does not infringe intellectual-property, privacy, publicity or other rights;
• does not contain confidential information you are not authorised to disclose;
• complies with these Terms and the Community Guidelines.

Licence to Opinyn

By submitting User Content, you grant Opinyn a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, process, adapt, format, translate, display, communicate, distribute and otherwise use that content for the limited purposes of:

• operating and providing the Service;
• displaying content to other users;
• enabling sharing and interaction features;
• securing and moderating the Service;
• investigating reports and violations;
• improving and developing Opinyn;
• promoting Opinyn and content published publicly on the Service;
• complying with legal obligations.

This licence does not transfer ownership of your User Content to Opinyn.

The licence generally ends when your content is deleted from active systems. Certain copies may remain where reasonably necessary for backups, security, legal compliance, dispute resolution, enforcement or protection of rights.

Content shared or copied by other users outside Opinyn may remain outside our control after the original content is deleted.

Public and anonymous content

Content published publicly may be viewed, copied, captured, downloaded or shared by other people. You should not publish information that you do not want to become public.

Where Opinyn offers anonymous posting, “anonymous” means that your public profile identity may not be displayed to ordinary users in connection with the post.

Anonymous posting does not mean that:

• Opinyn does not know which account submitted the content;
• the activity cannot be technically recorded;
• Opinyn cannot moderate the content;
• Opinyn cannot investigate violations;
• Opinyn cannot disclose relevant information where lawfully required.

Opinyn may use account and technical information to prevent abuse and enforce these Terms, including in connection with anonymous content.

Votes and results

Opinyn votes and results represent responses submitted by users of the Service.

They are not necessarily representative of:

• the general population;
• a particular demographic group;
• qualified professionals;
• verified experts;
• scientifically valid research;
• statistically reliable samples.

Opinyn does not guarantee that votes or results are:

• correct;
• complete;
• unbiased;
• genuine;
• independently verified;
• suitable for a specific decision;
• free from attempted manipulation;
• available permanently.

The majority answer is not necessarily the correct, safest or most appropriate answer.

Opinyn may take measures to detect or reduce artificial or abusive voting, but cannot guarantee that all manipulation will be detected.

No professional advice

User Content, votes and results are provided for informational, discussion and entertainment purposes.

They do not constitute:

• medical advice;
• legal advice;
• financial or investment advice;
• psychological or mental-health advice;
• professional counselling;
• emergency instructions;
• safety certification;
• another form of regulated professional advice.

You should consult an appropriately qualified professional before making a decision involving health, safety, law, finance or another significant matter.

If you or another person may be in immediate danger, contact the appropriate emergency services. Do not rely on Opinyn.

Responsibility for decisions

You are responsible for evaluating information obtained through Opinyn and for making your own decisions.

You expressly understand that:

• votes are opinions submitted by other users;
• other users may be mistaken, biased, joking, deceptive or unqualified;
• content may be inaccurate or incomplete;
• results may change as additional votes are submitted;
• anonymous content may be difficult to verify;
• Opinyn does not approve or endorse an answer merely because it receives the most votes.

To the fullest extent permitted by law, Opinyn is not responsible for decisions, actions, omissions, losses, injuries, damages or other consequences arising from or connected with:

• reliance on a vote or result;
• reliance on User Content;
• acting on another user’s recommendation;
• selecting the majority or minority answer;
• failing to seek professional advice;
• using Opinyn in an emergency or high-risk situation.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Community rules

You must comply with the Opinyn Community Guidelines.

You must not publish, share, request, promote, encourage or facilitate content involving:

• child sexual abuse, exploitation, grooming or endangerment;
• prohibited nudity or sexual content;
• non-consensual intimate content;
• bullying, harassment, stalking or threats;
• hate speech, hateful conduct or prohibited hate symbols;
• terrorism or violent extremism;
• credible threats or encouragement of violence;
• dangerous challenges or harmful instructions;
• encouragement of suicide or self-harm;
• fraud, scams, phishing or impersonation;
• spam or coordinated inauthentic activity;
• vote, engagement, Aura or ranking manipulation;
• materially false or deceptive information likely to cause harm;
• infringement of intellectual-property rights;
• disclosure of private or confidential information;
• illegal goods, services or activities;
• malware, malicious links or interference with the Service;
• another violation of applicable law or the Community Guidelines.

Context may be considered when content is shared for legitimate educational, documentary, journalistic, artistic, historical, scientific or counterspeech purposes. Such context does not guarantee that content will be permitted.

Reporting obligation

If you encounter content or behaviour that you reasonably believe violates these Terms, the Community Guidelines or applicable law, you agree to promptly report it using Opinyn’s reporting tools.

Reporting categories may include:

• Child Safety;
• Nudity or Sexual Content;
• Bullying or Harassment;
• Hate Speech or Hate Symbols;
• Violence or Dangerous Content;
• Spam, Scam or Misleading Information;
• False or Deceptive Information;
• Something Else.

When choosing “Something Else”, you should provide a description of the suspected violation.

You must submit reports honestly and in good faith.

You must not:

• knowingly submit a false report;
• report content solely because you disagree with an opinion;
• organise abusive or coordinated mass reporting;
• use reporting tools to threaten or harass another user;
• submit misleading information in a report.

A report does not guarantee that content will be removed. Opinyn will assess the content, available context, these Terms and applicable law.

For immediate threats or emergencies, contact the appropriate emergency services or competent authorities.

Safety of minors

Any sexual exploitation or abuse of a minor is strictly prohibited.

Users must not:

• publish or request sexual content involving minors;
• groom or sexually solicit a minor;
• attempt to move inappropriate communication with a minor to another service;
• share identifying or private information that creates a serious risk to a minor;
• encourage a minor to participate in dangerous or unlawful conduct;
• threaten, blackmail or exploit a minor;
• attempt to conceal child-safety violations.

Opinyn may immediately remove content, suspend accounts, preserve relevant evidence and submit reports to competent authorities or child-protection organisations where required or permitted by law.

Platform integrity

You must not:

• use bots, scripts, crawlers or automated tools without written permission;
• scrape or systematically collect content or personal data;
• reverse engineer or interfere with the Service except where legally permitted;
• bypass access controls or security protections;
• test vulnerabilities without written authorisation;
• introduce malware or malicious code;
• overload or disrupt the Service;
• manipulate voting or engagement systems;
• create coordinated networks of deceptive accounts;
• exploit bugs for personal gain or to harm another person;
• misuse Aura, ranks, badges or other platform features;
• falsely suggest that Opinyn endorses you or your content.

Security vulnerabilities should be reported to info@opinyn.com and must not be exploited or publicly disclosed in a manner that creates additional risk.

Aura, scores, badges and virtual features

Opinyn may provide Aura, scores, ranks, badges, streaks or similar features.

Unless expressly stated otherwise:

• these features have no monetary value;
• they cannot be redeemed for cash;
• they do not represent property or a financial instrument;
• they may not be sold or transferred;
• they may be corrected, reduced, reset or removed where obtained through error, manipulation or abuse;
• their design and availability may change.

Opinyn may modify or discontinue these features, subject to mandatory legal rights.

Moderation

Opinyn may use human review, automated systems or a combination of both to detect, review, rank, restrict and moderate content or accounts.

Where reasonably justified, Opinyn may:

• issue warnings;
• label content;
• reduce content visibility;
• disable certain features;
• restrict distribution;
• remove content;
• temporarily suspend an account;
• permanently terminate an account;
• prevent creation of replacement accounts;
• preserve relevant information;
• notify competent authorities where required or permitted.

Moderation decisions may consider:

• the nature and context of the content;
• the seriousness of the conduct;
• actual or potential harm;
• intent;
• frequency and previous violations;
• age and vulnerability of affected users;
• public-interest considerations;
• applicable law.

Opinyn is not required to monitor all User Content generally. The absence of immediate removal does not mean that content is approved or endorsed.

Statement of reasons and appeals

Where required by applicable law, Opinyn will provide affected users with information about significant content or account restrictions, including the principal reason for the decision and available appeal options.

You may appeal an eligible moderation decision through the method stated in the decision notice or by contacting info@opinyn.com.

An appeal should identify:

• the affected account or content;
• the decision being challenged;
• why you believe the decision was incorrect;
• relevant supporting information.

Opinyn will assess eligible appeals in a timely, diligent and non-discriminatory manner.

Submitting an appeal does not automatically suspend the original decision.

Opinyn may reject or restrict abusive, fraudulent, repetitive or manifestly unfounded appeals.

Intellectual property

The Opinyn name, branding, interface, software, design, graphics, logos and other materials provided by Opinyn are owned by or licensed to Opinyn and are protected by applicable intellectual-property laws.

Except as expressly permitted, you must not:

• copy or reproduce Opinyn’s proprietary materials;
• use Opinyn branding in a misleading manner;
• create an unauthorised derivative service;
• remove ownership or rights notices;
• use Opinyn’s intellectual property for commercial purposes without permission.

These restrictions do not prevent uses permitted by mandatory law.

Copyright complaints

If you believe content on Opinyn infringes your copyright or other intellectual-property rights, contact info@opinyn.com and provide:

• your full name and contact details;
• identification of the protected work;
• identification or location of the allegedly infringing content;
• an explanation of the claimed infringement;
• confirmation that the information is accurate;
• confirmation that you are the rights holder or authorised to act for the rights holder.

Opinyn may request additional information before acting on a complaint.

Knowingly submitting a false intellectual-property complaint may result in account restrictions and potential legal responsibility.

Third-party services and links

Opinyn may contain links to or integrate with third-party services, including account-login, analytics, infrastructure, media or sharing providers.

Third-party services are governed by their own terms and privacy practices.

Opinyn does not control and is not responsible for third-party content, availability, security or conduct. This does not affect any responsibility that Opinyn cannot lawfully exclude.

Privacy

Opinyn processes personal data as described in the Privacy Policy.

The Privacy Policy explains:

• what information is collected;
• why and on which legal basis it is processed;
• how it is used and shared;
• applicable retention periods;
• international data transfers;
• your data-protection rights;
• how to contact Opinyn;
• how to complain to a supervisory authority.

Acceptance of these Terms is not consent to every type of data processing.

Where consent is legally required, including for certain optional marketing or non-essential tracking, Opinyn will request consent separately.

Service changes and availability

Opinyn may change, update, suspend or discontinue features where reasonably necessary for:

• maintenance;
• security;
• legal compliance;
• safety;
• technical development;
• preventing abuse;
• improving the Service;
• circumstances outside Opinyn’s reasonable control.

We do not guarantee that the Service will always be uninterrupted, secure or error-free.

Where a change materially affects your rights, Opinyn will provide notice where required by law.

Account deletion

You may stop using Opinyn at any time.

You may request account deletion:

• through the account-deletion function in the application, where available; or
• by contacting info@opinyn.com.

Deleting the application from your device does not delete your account.

Certain information may be retained after deletion where necessary for:

• compliance with legal obligations;
• security and fraud prevention;
• enforcing legal rights;
• resolving disputes;
• protecting users;
• maintaining backups for a limited period.

Suspension and termination

Opinyn may restrict, suspend or terminate an account where reasonably necessary due to:

• serious or repeated violations;
• illegal conduct;
• child-safety risks;
• threats or harassment;
• fraud or impersonation;
• manipulation of votes or engagement;
• interference with platform security;
• evasion of previous enforcement;
• failure to meet age requirements;
• a binding legal order.

Where appropriate and legally required, Opinyn will provide reasons and information about appeal options.

You remain responsible for conduct occurring before termination.

Disclaimer

The Service is provided on an “as available” basis.

To the fullest extent permitted by law, Opinyn does not make guarantees concerning:

• uninterrupted availability;
• absence of errors or security incidents;
• accuracy of User Content;
• reliability of votes or results;
• suitability of content for a particular purpose;
• behaviour of other users;
• permanent storage of User Content.

Nothing in these Terms limits statutory guarantees or consumer rights that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by applicable law, Opinyn will not be liable for indirect, incidental, consequential, special or purely economic losses arising from:

• reliance on User Content, votes or results;
• decisions made using the Service;
• conduct of other users;
• unauthorised copying or sharing by other users;
• loss of access caused by justified enforcement;
• third-party services;
• events outside Opinyn’s reasonable control.

These limitations do not apply where liability cannot legally be excluded or limited, including where applicable in cases of:

• death or personal injury caused by legally attributable negligence;
• fraud or intentional misconduct;
• gross negligence where exclusion is prohibited;
• breach of mandatory consumer rights;
• another liability that cannot be excluded under applicable law.

Indemnity

To the extent permitted by law, if your unlawful conduct, User Content or material violation of these Terms causes a third-party claim against Opinyn, you agree to be responsible for the reasonably established losses and costs caused by that conduct.

This provision does not make consumers responsible for circumstances outside their control and does not limit mandatory consumer rights.

Changes to these terms

Opinyn may update these Terms to reflect:

• changes to the Service;
• new features;
• safety requirements;
• changes in law;
• security risks;
• operational changes.

Where changes materially affect your rights or obligations, Opinyn will provide reasonable advance notice where required.

If fresh acceptance is legally required, you will be asked to accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the Republic of Slovenia, without depriving consumers residing in the European Union or European Economic Area of mandatory protections provided by the law of their country of residence.

Before starting formal proceedings, you may contact Opinyn at info@opinyn.com so that the matter can be considered and, where possible, resolved.

Consumers may bring proceedings before any court having jurisdiction under applicable consumer and procedural law.

Nothing in these Terms requires a consumer to waive mandatory rights or access to legally available complaint, dispute-resolution or court procedures.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain effective.

The invalid provision will be interpreted or replaced only to the minimum extent necessary to make it lawful and enforceable.

No waiver

If Opinyn does not immediately enforce a provision, this does not waive the right to enforce it later.

Entire agreement

These Terms, together with the Privacy Policy, Community Guidelines and any additional terms expressly applicable to a feature, form the agreement governing your use of Opinyn.

If feature-specific terms conflict with these Terms, the feature-specific terms apply only to that feature to the extent of the conflict.
